Terms and Conditions

These Terms govern your use of Anchor Transaction Services, LLC's Website and services ("Services"), including transaction coordination and any additional hourly services submitted via our New Contract Intake Form or otherwise agreed upon. By using our Services, you agree to these Terms. If you are an Agent submitting transactions, you agree on behalf of yourself and your brokerage, in addition to any separate written Agent Agreement between us.

1. Services
We provide transaction coordination (e.g., document review, compliance checks, coordination with lenders/title/closing parties) from contract execution through closing, as well as additional hourly services (e.g., special requests or extended support) that are agreed upon in advance. Standard coordination services are invoiced after closing via Wave accounting and payment processing. Additional hourly services are invoiced as agreed beforehand. We are not a licensed real estate brokerage; we do not represent buyers/sellers.

2. Agent Representations and Authority

By submitting a transaction or requesting services:

  • You represent you are a licensed real estate agent/broker in good standing.

  • You warrant you have all necessary client consents/authorities to share personal information (e.g., contacts, property details) with us, per applicable laws (e.g., Alabama Real Estate Commission rules on confidentiality/disclosures).

  • You confirm clients have been informed of any data sharing needed for coordination.

  • You indemnify us against claims arising from unauthorized sharing or your misrepresentations.
     

3. Intake and Data Submission
Submissions via third party applications or software such as Cognito Forms, JotForms, etc are voluntary. Uploaded documents must be accurate/complete and are preferably submitted in PDF format. We rely on your submissions; we are not liable for errors/omissions in client-provided info.

4. Limitations of Liability
Services are "as is." We disclaim warranties. We are not liable for:

  • Agent errors, client disputes, transaction failures.

  • Indirect/consequential damages.

  • Issues from third parties (e.g., lenders, title). Maximum liability: fees paid for the transaction.
     

5. Indemnification
You indemnify us from claims related to your use, data submissions, or breaches (e.g., unauthorized client data sharing).

6. Governing Law
These Terms and any disputes arising from or related to the Services shall be governed exclusively by the laws of the State of Alabama, without regard to its conflict of laws principles. Any legal action or proceeding arising out of or relating to these Terms or the Services shall be brought exclusively in the state or federal courts located in Coffee County, Alabama (or, if no state court has jurisdiction, in an appropriate Alabama state court). You consent to the personal jurisdiction and venue of such courts and waive any objection based on inconvenient forum.

7. Termination
We may refuse or terminate services at any time.

8. Changes
We may update these Terms; continued use constitutes acceptance.

9. Entire Agreement
These Terms (plus Privacy Policy), along with any separate written agreement between us (including any Agent Agreement), constitute the full agreement.
